Governance and Legal Framework

1. SoundDAO: Structure and Authority

The long-term operation and development of Sound Protocol is determined by a community-led decentralized autonomous organization (DAO), namely SoundDAO. SoundDAO is the supreme decision-making body that manages ecosystem funds, votes on protocol upgrades, and sets the protocol's long-term direction.

2. On-Chain Voting Mechanism: Leveraging BNB Chain's Low-Cost Environment

BNB Chain's low gas fees provide an environment where all token holders can participate in governance without economic burden. This solves the high voting cost problem experienced by Ethereum L1-based DAOs, enabling more inclusive and democratic decision-making.

Proposal Lifecycle:

  1. Submission: Any user who has staked a minimum amount of $SOUND tokens can submit a Sound Improvement Proposal (SIP).

  2. Discussion: Sufficient discussion of the proposal takes place in community forums.

  3. Voting: On-chain voting proceeds for a defined period.

  4. Execution: If the vote passes, the proposed changes are automatically executed after a time delay through a "Timelock" smart contract for security.

3. Expert Committee Role: Balancing Expertise and Community Will

Sound Protocol adopts a hybrid model that considers the complexity of the music industry alongside full on-chain governance. We operate an "Expert Committee" to handle matters requiring highly specialized knowledge, such as copyright law and international royalty treaties.

This committee consists of industry veterans including music industry lawyers, publishers, and technical experts. The committee has veto power over proposals that could jeopardize the protocol's legal or regulatory standing. This serves as an important safeguard that protects the protocol from potential legal risks while respecting community will.

4. Path to Complete Decentralization

The protocol's long-term goal is complete decentralization. To achieve this, we present a multi-year roadmap that gradually transfers authority from the core development team and expert committee to the community as the DAO matures and the protocol becomes legally stabilized.
